Wingman Terms of Service

1. About These Terms

These Terms of Service ("Terms") govern your use of Wingman (the "Service"), provided by Excellence IT (UK) Limited ("we", "us", "our").

By installing or using Wingman, you agree to these Terms. If you use Wingman on behalf of an organisation, you confirm you have authority to bind that organisation.

2. Service Provider

Wingman is operated by EXCELLENCE IT (UK) LIMITED, company number 06391372, registered office:

Caerphilly, Wales, CF83 3HU, UK.

3. Eligibility and Accounts

  • You must use a valid Microsoft 365 account and required delegated permissions for Wingman to function.
  • You are responsible for maintaining the security of your Microsoft account and tenant access.
  • You must ensure your use of Wingman complies with your organisation's policies.

4. Licence and Permitted Use

Subject to these Terms and a valid subscription/licence assignment, we grant you a limited, non-exclusive, non-transferable, revocable right to use Wingman for internal business purposes.

You may not:

  • Copy, resell, sublicense, or distribute Wingman except as expressly permitted by law.
  • Reverse engineer, decompile, or attempt to extract source code, except where such restrictions are prohibited by applicable law.
  • Use Wingman to violate law, regulation, or third-party rights.

5. Customer Data and Privacy

Your use of Wingman may involve access to emails, attachments, and SharePoint content in your Microsoft 365 environment. Data handling is described in our Privacy Policy.

You retain responsibility for the content you process and store through Microsoft 365 services.

6. Availability and Changes

We aim to keep Wingman available and reliable, but we do not guarantee uninterrupted or error-free operation.

We may modify, suspend, or discontinue features where required for security, legal, or operational reasons.

7. Acceptable Use

You agree not to misuse the Service, including by:

  • Interfering with security, performance, or integrity.
  • Uploading or transmitting malware, malicious code, or harmful content.
  • Using Wingman for unlawful, fraudulent, or abusive activity.

8. Fees, Billing, and Trial Access

Wingman may be offered under paid subscriptions and/or trial licences. Pricing, licence counts, renewal terms, and payment processing are managed via your purchase channel (for example, Microsoft AppSource or related commercial agreements).

Continued access to paid features requires an active valid licence.

9. Disclaimer of Warranties

To the maximum extent permitted by law, Wingman is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.

10. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill arising from use of Wingman.

Nothing in these Terms excludes liability that cannot lawfully be excluded (including liability for fraud or fraudulent misrepresentation).

11. Termination

We may suspend or terminate access where you materially breach these Terms, your licence expires, or we are required to do so by law.

You may stop using Wingman at any time by uninstalling the add-in and ending active licences through your admin/purchase channel.

12. Governing Law

These Terms are governed by the laws of England and Wales. Subject to mandatory local law, courts of England and Wales have exclusive jurisdiction over disputes arising from these Terms.

13. Changes to Terms

We may update these Terms from time to time. The Effective Date will indicate the latest version. Continued use of Wingman after changes take effect constitutes acceptance of the updated Terms.
